1. Non-Competition Covenants

The Buyer agrees that, for a period of five (5) years from the date of this Agreement (the “Restricted Period”), the Seller shall comply with the following independent covenants:

(a) Non-Competition with Business Activities

During the Restricted Period, the Seller shall not, whether individually or jointly, and whether directly or indirectly, engage in, own (in whole or in part), operate, manage, be employed by, contract with, provide services to, consult for, act as an officer, director, employee, or independent contractor of, or otherwise associate with any business involved in the marketing or sale of Prepaid Calling Cards, Prepaid SIM Cards, Wireless Refills, International Top-Ups, wholesale refills to resellers, or any other related products and services described on the website www.PayCellularPlan.com.

(b) Non-Solicitation of Employees

The Seller shall not, whether individually or jointly, and whether directly or indirectly, solicit or attempt to solicit any employee of the Company to leave their employment.

(c) Non-Solicitation of Customers

During the Restricted Period, the Seller shall not, whether individually or jointly, and whether directly or indirectly, use or attempt to use the Company’s customer database for any purpose.
